Terms of Service
The rules for using Data Soft Logic websites and software — accounts, acceptable use, subscriptions, data ownership, and liability.

1. Acceptance of these terms
These Terms of Service govern your use of the Data Soft Logic ("DSL") websites and, together with your signed subscription agreement, your use of DSL products including Home Health Centre, Hospice Centre, Therapy Centre, and the DSL cloud platform. By using our sites or products, you agree to these terms.
If a signed agreement between your agency and DSL conflicts with anything here, that signed agreement controls.
2. Accounts and eligibility
- Accounts are issued to named individuals at a licensed agency. Credentials may not be shared.
- You are responsible for activity under your account and for keeping credentials confidential.
- Agency administrators are responsible for granting, reviewing, and removing user access promptly when staff roles change.
- Notify us immediately at 866.430.0263 if you suspect unauthorized access.
3. Acceptable use
- Do not attempt to access data belonging to another agency or another user.
- Do not probe, scan, or test the vulnerability of the platform without written permission.
- Do not upload malware, run automated scraping, or submit code or database commands through input fields.
- Do not resell, sublicense, reverse engineer, or copy the software or its documentation.
- Do not use the platform in a way that violates HIPAA, payer rules, or any applicable law.
4. Subscriptions, fees, and renewal
Subscription pricing, term length, user counts, and payment schedule are set out in your order form or subscription agreement. Unless that agreement says otherwise, subscriptions renew for successive terms and fees are due in advance of each term.
Fees are non-refundable except where required by law or expressly stated in your agreement. Late payment may result in suspension after written notice.
5. Your data
Your agency owns the data it puts into DSL products. We process that data to provide the services, under your instructions and under our Business Associate Agreement where protected health information is involved.
On termination, you may request an export of your data in a standard format within the window described in your agreement. After that window, data may be deleted in the ordinary course.
6. Service availability and support
We work to keep the platform available and perform maintenance in low-usage windows whenever possible. Support is included with every subscription; details are on our Support page.
We may modify, add, or retire features over time. Material changes affecting core workflows are communicated to account administrators in advance.
7. Intellectual property
DSL and its licensors own the software, interfaces, documentation, trademarks, and all related intellectual property. Your subscription grants a limited, non-exclusive, non-transferable right to use the products during your term — it does not transfer ownership.
8. Third-party services
The products may connect to clearinghouses, payers, e-signature providers, or other third-party systems. Those services are governed by their own terms, and we are not responsible for their availability or content.
9. Disclaimers
DSL software supports clinical documentation, compliance workflows, and billing operations. It does not provide medical advice, and it does not guarantee accreditation, survey outcomes, claim payment, or regulatory compliance — those remain the responsibility of your agency and its clinicians.
Except as expressly stated in your agreement, the services are provided "as is" without warranties of any kind, to the maximum extent permitted by law.
10. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages, or for lost profits or lost data, arising out of these terms. Any liability cap set out in your signed agreement applies.
11. Termination
Either party may terminate as described in the subscription agreement. We may suspend access for non-payment or for conduct that violates the acceptable use section, after notice where practicable, and immediately where there is a security or legal risk.
12. Changes to these terms
We may update these terms as our products and the law change. Updates are posted here with a revised date, and account administrators are notified of material changes.
